Job Description:

The Associate Project Counsel will provide legal advice to Mayflower Wind Energy LLC ("Mayflower") personnel regarding all aspects of commercial contract development and procurement activities for the Mayflower offshore renewable energy project. You will provide support to project financing activities and the preparation and negotiation of, construction agreements, operations and maintenance agreements, engineering service agreements, consulting service agreements, purchase agreements, development agreements and other relevant documentation, all in accordance with Mayflower objectives and policies. Under the direction of General Counsel, the Associate Project Counsel will also handle day to day project-related legal issues and provide legal expertise to Company staff and analyze exposure to risk factors while complying with departmental guidelines, governance and all applicable laws in order to ensure that Mayflower's project documents and activities meet all applicable requirements.

Main accountabilities:

  • Provide legal expertise and commercial support to Mayflower staff in the development, execution, administration, and operations of utility-scale offshore renewable energy projects.
  • Work with development project teams throughout the development process by providing legal advice on issues as they arise and providing solutions that meet project objectives while complying with departmental guidelines
  • Develop, review, and recommend changes to legal aspects of procurement documents to improve efficiency and risk mitigation
  • Timely prepare, negotiate, and finalize various project agreements including construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings and applications to various local, state, and federal agencies (including FERC/ BOEM/ NOAA/ USACE)
  • Support General Counsel in managing external legal resources to ensure efficient and effective completion of tasks
  • Support Mayflower's project documentation and compliance functions
  • Coordinate efforts with other legal and management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management for Mayflower and its owners
  • Support project financing and sale processes, including assisting in due diligence efforts
  • Additional duties as required

Travel: Minimal

Minimum qualifications:

  • Juris Doctorate
  • 3 - 5 years of in-house counsel or comparable law firm experience with emphasis on document preparation
  • Experience in project development handling development, construction, and operations of large projects
  • Experience in the renewable energy industry
  • Licensure to practice law in at least one state, preferably Massachusetts, Texas or New York
  • Knowledge of a wide variety of project development contracts including construction agreements, operation and maintenance agreements, engineering and consulting services agreements, confidentiality agreements, purchase agreements, and other relevant documentation along with the manner in which corporate entities operate and are organized within the power industry
  • Project finance and/or tax equity financing experience preferred
  • Proficient knowledge of Microsoft Office Software
  • Competency in Analytical Problem Solving, Strong Communication, Customer/Partner Relationships, and Technology Expertise. (Preferred)

  • Sitting/Standing/Flexibility: Ability to stand and sit for 8 or more hours when in an office environment
  • Speech/Reading: Ability to speak, read, and write English proficiently and deliver a variety of instructions furnished in written, verbal, diagram, or schedule form
  • Lifting: Ability to lift items weighing up to 10 pounds
  • Vision/Hearing: Ability to understand a variety of instructions furnished in written, verbal, diagram, or schedule form
  • Safety: Ability to understand and communicate safety precautions when necessary
