Job Description:

are seeking an experienced U.S. securities lawyer to join our
growing Legal and Compliance team to support our global,
commercial-stage biotechnology company that is triple-listed on
NASDAQ, the Hong Kong Stock Exchange (HKEx), and the Shanghai STAR
Exchange. This lawyer will be a senior member of our existing team
of securities and corporate lawyers and paralegals and will be
instrumental in managing and supporting our securities, general
corporate, transactional, and corporate governance matters. Very
strong writing and editing skills required. Responsibilities: Draft
and provide counsel in support of SEC, NASDAQ and/or HKEx and other
securities filings, including current and periodic reports and
announcements, proxy statements, and other regulatory filings and
reports. Serve as a subject matter expert on compliance and
disclosure items and advise on and draft new disclosures;
coordinate and assist with financial disclosures; and review public
announcements, including press releases, corporate, investor and
scientific presentations, and communications with internal and
external stakeholders. Provide legal support on various types of
transactions, including equity investments, joint ventures, credit
facilities, corporate financing, corporate restructurings, and
mergers and acquisitions, including due diligence, negotiation of
terms, drafting of documentation, and regulatory filings. Support
of the Company's environmental, social and governance (ESG) and
other corporate governance efforts. Assist with Board and committee
meetings, the Company's Insider Trading Policy, and other corporate
policies. Provide counsel in support of the Company's equity plans
and programs and grant agreements, including securities law
compliance and disclosure. Assist with the development and upkeep
of relevant securities, general corporate, and corporate governance
agreements and forms. Oversee the coordination and maintenance of
records for all due diligence requests and the Company's electronic
datarooms. Engage and manage the work of outside counsel and
advisors. Supervisory Responsibilities: This position may have
managerial responsibility of other corporate counsel and
paralegals, as well as budgetary discretion. Computer Skills:
Proficiency in the Microsoft Office Suite, Outlook, Word, Excel,
SharePoint, EDGAR, Workiva Other Qualifications: Chinese language
skill is a plus. Excellent drafting, editing, negotiation,
interpersonal and communication skills. Strong leadership and
management skills and experience. Evaluate legal exposure, manage
risk, and interpret and apply laws, regulations, case law, statues,
and policies to provide expert advice. Strong business acumen;
ability to contribute strategically to the Company's business. Team
player with ability to collaborate proactively with
cross-functional teams and interact effectively with all levels
within the Company. Strong working knowledge of U.S. securities
laws and regulations and the ability to quickly learn, interpret
and apply changes in such laws and regulations and policies. A
demonstrated ability to collaborate, as well as to work
independently, balancing competing priorities in a fast-paced,
deadline-driven environment with a high level of professionalism.
Detail-oriented. Ability to handle confidential and proprietary
information using excellent discretion and judgment.
Self-motivated, able to work independently and be reliable and
responsive. Ability to be flexible and willing to accept new
responsibilities as needed. Travel: Up to 10% Education/Experience
Level: Juris Doctor from an accredited law school in the U.S. 7+
years of SEC reporting experience at a law firm and/or as in-house
counsel. Experience with biotech or pharma companies strongly
