Job Description:
Position Summary:
The role is an exciting opportunity to become a critical component
of the legal and business operations of a leading high-growth
company in the biotechnology industry. Orbital is seeking a
pragmatic, business-minded professional with a deep understanding
of the operations of a bio-pharma company and the concepts
customarily addressed in agreements for the life sciences industry
to structure, draft, negotiate and execute the full gamut of
corporate development and licensing transactions, including,
research and development collaborations, strategic partnerships,
venture investments and M&A.
The successful candidate will also support our internal business
and R&D leaders by being a critical thought partner in
establishing strategy and managing ongoing relationships by
interpreting complex contractual terms, providing risk assessments
and recommendations, and navigating issues with partners.
Responsibilities:
- Partner with corporate development, finance, research,
manufacturing, and other business teams to establish and understand
business strategy, structure transactions that deliver on that
strategy, and negotiate and execute agreements in accordance with
those requirements and the company's overall objectives, priorities
and policies.
- Provide best-in-class legal support for policies, processes,
templates, governance principles and support structures that allow
Orbital to successfully grow and scale globally.
- Partner cross-functionally and collaborate with business and
finance stakeholders acting as enterprise connector to ensure
global excellence, consistency and compliance.
- Conduct trainings and contribute to process improvements across
our Legal, IP, Business Development, Licensing, Research, and
Manufacturing teams.
- Negotiate externally with senior executive leaders of
prospective partners; advise senior executive leaders internally on
critical matters.
- Develop advanced concepts, techniques, and standards to resolve
unusual, complex and/ or multi-disciplinary problems. Manage
outside counsel engagements, performance, and budgets.
- Provide post-execution relationship support by interpreting
contract language for internal clients, drafting amendments and
working to help avoid/resolve potential issues.
- Work closely with members of finance and other departments to
help ensure compliance with cross-functional policies and
procedures.
- Recognize high pressure, time sensitive situations and respond
clearly and pragmatically with high quality and timeliness.
Qualifications:
- J.D. from an accredited law school; admitted into practice and
in good standing in at least one state.
- 15+ years of experience in a top tier law firm or
pharmaceutical / biotechnology firm handling a variety of corporate
transaction matters.
- Experience drafting and negotiating a wide variety of contracts
related to research, development, licensing, manufacturing, venture
investments, M&A, and other business arrangements in the life
sciences industry.
- Strong drafting and communication skills, and an ability to
maintain a high level of attention to detail without losing sight
of the big picture.
- Commitment to client service, finding solutions, relationship
building, continued learning, proactivity and
confidentiality.
- Command of the concepts, terminology and interdependencies that
are important in licensing and intellectual property
matters.
- Excellent interpersonal skills that are demonstrated by being
articulate, direct and forthright, and serving as a collaborative
and decisive team member and a strategic thinker with a broad
perspective.
- Ability to manage and prioritize multiple matters
simultaneously and to respond to rapidly shifting priorities in
ambiguous or challenging situations.
- Demonstrated ability to own projects and consistently meet
tight timing requirements and high quality standards.
- Strong verbal and written communication skills, including
proven ability to interact and communicate effectively with
individuals from multiple departments at all levels of the
organization.
- Ability to handle confidential and proprietary information
using impeccable discretion and judgment.
